1. By agreeing to the terms of this contract / booking form constitutes a binding agreement.
2. The vendor has the right to alter their product/remove their product without any prior approval.
3. Vendor must always prepare their products under hygienic conditions
4. Payments will be release 25^th of every month for transactions before 20^th of every month.
5. If the vendor cancels his partnership with us, all the pending will be cleared from the company’s side.
6. com takes some commission (a.k.a. a “fee”) from each sale we make with us as part of the per product sale
7. If the vendor provides any unhygienic with hairs/dusts etc. The company has the right to suspend or terminate the vendor application and refuse any further partnership with us.
8. No Products once placed can be refunded by the customer. Therefore once the order has been dispatched by the customer
9. All deliveries will be picked up by the logistics team as per your convenience.
10. Chocozonia reserves the right to select the products to be displayed on its Platform. Chocozonia also reserves the right to determine the Sellers who may sell on the Platform.
11. Chocozonia shall receive Orders for the products displayed/distributed on behalf of Seller only in the capacity of the entity that provides an access to Platform, marketing and distribution channel to the Seller. In the event payments are collected by Chocozonia on behalf of the Seller, through the various payment channels made available to the Buyers on the Platform, the same will be collected by Chocozonia on behalf of the Seller with the sole intent of facilitating the sale transactions between the Buyer and the Seller. Except to the limited extent as provided above, Chocozonia is not involved in the actual transaction between Seller and Buyers. Chocozonia is not an agent, fiduciary, trustee, or other representative of the Seller.
12. Chocozonia does not at any point of time during any transaction between the Buyer and the Seller on the Platform come into or take possession of any of the products or services offered by the Seller. Nor does it at any point gain title to or have any rights or claims over the products or services offered by the Seller to the Buyer.
13. Chocozonia shall provide the necessary backend infrastructure for capturing the details of the Buyer and the Orders placed by the Buyers on the Sellers. Orders placed by Buyer will be forwarded to the Seller for packaging and dispatch of product to the End Buyers. Chocozonia will separately inform the Seller regarding the modalities involved to access the Orders of Buyers, by way of direct access through a “Seller Panel” and the Seller shall be bound by packaging guidelines as communicated by Chocozonia from time to time and any amendments / changes thereto.
14. Seller shall upload content & images of its products or services to be displayed at Platform in the format specified by Chocozonia. Seller will update the dispatch / delivery details on the Seller Panel provided by Chocozonia or any other mode as may be notified by Chocozonia from time to time. In case the Seller fails to update the dispatch / delivery details on the Seller Panel the Order will deemed to be incomplete and Chocozonia shall be under no obligation to release payment against the respective Order.
15. Platform Content: Seller recognizes and confirms that Chocozonia has the exclusive right to supervise, allow and reject the contents of the Platform. Chocozonia shall not be liable for contents and images shared, uploaded or displayed on Platform by Seller regarding its products and all consequent liability will be borne by Seller only. Seller confirms that it possesses valid title and rights to display and sell the products and services and hereby further grants to Chocozonia the right to display/delist the product (as updated or to be updated by the Seller on the Seller Panel at any/all times) and/or related logo and/or trademark and/or brand name, etc. owned by it or its business associates for marketing/selling through the Platform. Without limiting the foregoing, Seller agrees that it will not use the Platform to undertake any of the following actions or to display, upload, modify, publish, distribute, disseminate, transmit, update or share any information that:
    1. Belongs to another person to which the Seller does not have any right to;
    2. Is grossly harmful, harassing, blasphemous defamatory, obscene, pornographic, paedophilic, libellous, invasive of another privacy, hateful, or racially, ethnically objectionable, disparaging, relating or encouraging money laundering or gambling, or otherwise unlawful in any manner whatever;
    3. Harms minors in any way;
    4. Infringes any Intellectual Property Rights;
    5. Threatens the unity, integrity, defense, security or sovereignty of India, friendly relations with foreign states, or public order, or causes incitement to the commission of any cognizable offense, or prevents the investigation of any offense or insults any other nation.
    6. Violates any law for the time being in force.
